Terms of Service

These terms govern your use of PayGuard (“the Service”), operated by urdlabs. By creating an account or using the Service, you agree to these terms.
1. Service Description
PayGuard is a payment recovery tool for SaaS businesses. It receives failed payment events from your Stripe account via webhooks and sends automated email sequences to your customers to recover those payments.
2. Account Terms
- You must provide a valid email address to create an account.
- You are responsible for maintaining the security of your account and Stripe webhook configuration.
- You are responsible for all activity that occurs under your account.
- You must be at least 18 years old to use the Service.
3. Your Stripe Data
You authorize PayGuard to receive and process webhook events from your Stripe account, including invoice data, customer email addresses, and payment statuses. You represent that you have the right to share this data with us and that doing so complies with your own privacy policy and applicable laws.
4. Recovery Emails
PayGuard sends emails to your customers on your behalf. You are responsible for ensuring that your use of the recovery email feature complies with applicable email and anti-spam regulations (including CAN-SPAM, GDPR, and any local laws). PayGuard provides the delivery infrastructure; the relationship with your customers is yours.
5. Payment and Billing
- PayGuard costs $49 per month, billed monthly.
- Billing is handled by Creem (creem.io), our Merchant of Record. Creem processes payments, handles tax obligations, and manages refunds.
- Your subscription renews automatically each month until you cancel.
- You can cancel at any time through the billing portal. Cancellation takes effect at the end of your current billing period.
6. Refunds
Refund requests are handled on a case-by-case basis. Contact us within 14 days of a charge if you believe it was made in error. Refunds are processed through Creem.
7. Acceptable Use
You agree not to:
- Use the Service to send unsolicited or spam emails.
- Provide false or misleading information in recovery emails.
- Interfere with or disrupt the Service or its infrastructure.
- Use the Service for any unlawful purpose.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
8. Service Availability
We make reasonable efforts to keep PayGuard available and functioning, but we do not guarantee uninterrupted or error-free operation. The Service is provided on an “as-is” and “as-available” basis.
9. Limitation of Liability
To the maximum extent permitted by law, PayGuard and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or loss of data. Our total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 3 months preceding the claim.
10. Termination
We may suspend or terminate your access to the Service if you violate these terms. You may cancel your account at any time. Upon termination, we will stop processing webhook events and sending recovery emails for your account. Data deletion is available upon request.
11. Changes to These Terms
We may update these terms. We will notify active account holders of material changes via email at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated terms.
12. Governing Law
These terms are governed by and construed in accordance with applicable law. Any disputes will be resolved through good-faith negotiation first.
